About the Role
Our client is a well-established alternative investment manager with a strong European footprint and a growing Luxembourg platform. Due to continued expansion, they are seeking a Deputy Head of Legal to support and act as a key partner to the Head of Legal across fund structuring, regulatory, and transactional matters.

This is a senior, hands-on position offering significant visibility with senior management, investment teams, and external stakeholders.

Key Responsibilities
Act as deputy to the Head of Legal, supporting the day-to-day management of the legal function and stepping in as required
Provide legal advice on alternative investment structures, including Private Equity, Private Debt, Real Estate and other alternative asset classes
Support the structuring, formation, and ongoing operation of Luxembourg funds and vehicles (RAIF, SIF, SICAR, SCSp, etc.)
Advise on AIFMD and CSSF regulatory matters, including interaction with regulators and service providers
Review, draft and negotiate a wide range of legal documentation, including:

Fund documentation (PPMs, LPAs, prospectuses)
Investment and financing agreements
Side letters and commercial contracts
Work closely with portfolio management, investment, risk, compliance and operations teams
Oversee and coordinate external legal counsel in Luxembourg, Germany and other jurisdictions
Contribute to legal and regulatory projects, including new product launches, cross-border initiatives and regulatory change
Mentor and support more junior members of the legal team

Key Requirements
Fully qualified lawyer in Luxembourg, Germany or another EU jurisdiction
Fluent German and English (French is a strong advantage)
Minimum 8–12 years’ post-qualification experience, gained within:

An alternative investment manager, AIFM or asset manager, and/or
A top-tier or well-regarded international law firm
Strong technical knowledge of Luxembourg fund law and AIFMD
Proven experience advising on alternative investment funds and structures
Commercial, pragmatic mindset with the ability to operate in a fast-paced environment
Prior experience in a lead or deputy role is highly desirable
