Role Overview:
The CFO & Conducting Officer is a key member of the AIFM’s executive management team and the Board of Directors, responsible for the group’s overall financial management, tax governance, treasury operations, accounting oversight, and financial regulatory reporting.
Operating in close coordination with the Chief Executive Officer, the CFO acts as the AIFM’s financial, tax, and prudential anchor, ensuring the company’s financial and tax integrity while fully supporting—but not overlapping with—the CEO’s strategic and portfolio responsibilities.
As Conducting Officer under CSSF Circular 18/698, the CFO ensures the accuracy, transparency, and regulatory compliance of the AIFM’s and its subsidiaries’ financial operations and maintains effective relationships with auditors, banks, and tax authorities.
Key Responsibilities:
1. Financial Leadership & Strategy
Lead the AIFM’s overall financial planning, budgeting, forecasting, and performance
management.
Develop and execute financial strategies supporting the company’s expansion across real
estate, infrastructure, private equity and fund-of-funds asset classes.
Manage liquidity, capital structure, and financing arrangements at group level.
Drive financial transparency, cost efficiency, and sustainable profitability.
Provide strategic financial insight to the CEO, Board, and Shareholders to support informed
decision-making.
2. Conducting Officer Responsibilities
Serve as Conducting Officer for Finance, Accounting, Tax, and Treasury, in line with
CSSF Circular 18/698 and AIFMD requirements.
Oversee the accuracy and completeness of all financial statements, accounting processes,
and prudential filings.
Manage financial regulatory reporting (CSSF, IFR, AIFMD Annex IV) and ensure timely
submission.
Supervise FATCA and CRS compliance, including investor classification, due diligence, and
filings.
Maintain direct responsibility for global banking relationships, including cash management,
account structures, and financing arrangements.
Coordinate with other Conducting Officers to maintain a coherent and compliant governance
environment.
3. Accounting Function & Insourcing Strategy
Oversee the accounting environment of the Management Company, subsidiaries, and
General Partners in Luxembourg.
Managing the inhouse accounting functions for these entities.
Conduct feasibility and implementation studies for insourcing the regulated fund
accounting function (Central Administration) in coordination with the CEO.
Ensure robust accounting systems, policies, and internal control frameworks consistent with
CSSF expectations.
Manage the annual audit process for all management entities (excluding fund audits).
4. Tax Oversight, Structuring & Compliance
Lead all tax compliance activities for the AIFM, its subsidiaries, and managed fund
structures.
Liaise directly with tax authorities and external tax advisors on ongoing matters, audits,
and clarifications.
Oversee tax structuring and optimisation of funds and holding entities in line with OECD
and AIFMD standards.
Support the tax structuring of new funds and investments in cooperation with the CEO
and legal teams.
Implement and maintain transfer-pricing frameworks for intercompany arrangements.
Manage and coordinate global tax advisor engagements, ensuring alignment, cost
efficiency, and quality of output.
Guarantee full compliance with FATCA and CRS reporting obligations.
5. Treasury & Banking Management
Manage all corporate banking relationships, onboarding, and financing lines.
Negotiate credit facilities, guarantees, and treasury management solutions.
Ensure effective liquidity planning, internal cash-flow forecasting, and capital allocation.
Supervise compliance with banking covenants and documentation standards.
6. Financial Regulatory Reporting
Ensure full compliance with CSSF prudential reporting obligations, including IFR, capital
adequacy, and liquidity reporting.
Oversee coordination of financial data used in AIFMD Annex IV, audit, and CSSF
submissions.
Maintain transparent communication with the CSSF and auditors regarding financial matters.
7. International Oversight
Oversee financial and accounting governance for abort group companies.
Ensure consistent accounting, tax, and financial control frameworks across all jurisdictions.
Coordinate with local management and external advisors for cross-border compliance.
8. Governance, Risk & Coordination
Work closely with all governance functions to maintain a strong internal control environment.
Support the CEO and Board in governance matters, prudential compliance, and audit
reviews.
Report regularly to the Board and stakeholders on financial, tax, and treasury matters.
9. Strategic Development
Support the CEO and Board in corporate strategy, fundraising, and investment structuring.
Represent the AIFM in strategic negotiations with banks, auditors, and institutional partners.
Candidate Profile
Experience & Skills
Minimum 15 years of senior finance leadership experience in an AIFM, investment
manager, or asset management platform.
Deep knowledge of Lux GAAP, and IFRS.
Proven expertise in corporate accounting, tax compliance, structuring, FATCA/CRS, and
treasury management.
Experienced in liaising with tax authorities, coordinating global tax advisors, and
managing complex financing structures.
Demonstrated success in transforming accounting functions within regulated entities.
CSSF-approved / eligible Conducting Officer.
Excellent stakeholder-management skills and ability to operate effectively at Board level.
Fluency in English and in one another European language is an advantage.
Education & Qualifications
Degree in Finance, Accounting, Economics, or Taxation.
Professional qualification (ACCA, CPA, CFA, or equivalent) preferred.
Tax advisor certification (Luxembourg, Germany, or equivalent) is a strong asset.
Eligible for CSSF fit-and-proper approval as Conducting Officer.
